1. Acceptance of Terms
By using TKPay services (hereinafter "the Services"), you agree to be bound by these terms and conditions. If you do not accept these terms, please do not use our Services.
2. Definitions
• TKPay: Main agent of NAPS, a payment institution licensed by Bank Al-Maghrib, providing payment solutions in Morocco.
• Client: Any individual or legal entity using the Services.
• Services: All payment solutions offered by TKPay.
• POS: Point of Sale Terminal.
• Merchant: Client accepting payments via the Services.
• Transaction: Any payment operation performed via the Services.
3. Service Description
TKPay offers the following services:
• Electronic Payment Terminals: SUNMI P2 and P3 terminals, bank card acceptance, contactless payment, tip management, installment payments.
• Online Payment Module: API integration, secure gateway, multi-currency support.
• Payment Links: Generation of payment links via SMS/WhatsApp.
4. Eligibility Requirements
To use the Services, you must:
• Be a legally registered business in Morocco.
• Have a valid ICE number.
• Have a professional bank account.
• Comply with Bank Al-Maghrib regulations.
• Not engage in illegal or prohibited activities.
5. Registration and Activation
Registration includes:
1. Form submission with required documents.
2. Validation within 2 to 5 business days.
3. Contract signing.
4. Account activation and equipment delivery.
6. Prohibited Activities
The following activities are strictly prohibited:
• Illegal activities
• Sale of counterfeit goods
• Unlicensed gambling
• Adult content
• Weapons and drugs
• Ponzi schemes
• Unregulated cryptocurrencies
• Money laundering
• Fraudulent transactions
Any violation will result in immediate account suspension and contract termination.
7. Pricing and Fees
Applicable fees include:
• Transaction fees: Variable percentage based on volume.
• Terminal rental: Monthly or annual.
• Setup and training fees.
• Withdrawal and transfer fees.
• Chargeback fees: 100-200 MAD.
30 days notice is required for any pricing changes.
8. Settlements and Transfers
• Standard settlement: D+2 (2 business days).
• Express settlement: D+1 (additional fees).
• Security reserve: 5-20% of transactions possible for new clients.
9. Disputes and Chargebacks
• The Client is responsible for all chargebacks.
• 7-day period to provide evidence.
• Excessive rates (>1%) trigger additional fees or suspension.
10. Security and Compliance
The Client agrees to:
• Protect access credentials.
• Report any suspicious activity.
• Follow PCI-DSS standards.
• Train staff.
• Never store CVV data.
11. Data Protection
TKPay complies with Law 09-08 on the protection of individuals with regard to the processing of personal data. Details are provided in our Privacy Policy.
12. Duration and Termination
• Indefinite term contract.
• Client termination: 30 days notice.
• TKPay termination: 60 days standard, immediate for violations, fraud, or excessive chargebacks (>2%).
13. Liability
• TKPay liability is limited to fees from the prior 3 months.
• 99% uptime guarantee (excluding maintenance).
• The Client is responsible for product legality and accuracy of information provided.
14. Intellectual Property
• TKPay retains all rights to its platform, API, and trademarks.
• The Client receives a limited usage license.
• The Client may display TKPay logos in accordance with guidelines.
15. Confidentiality
The parties agree to maintain confidentiality of exchanged information during and after the contract term.
16. Terms Modifications
TKPay reserves the right to modify these terms with 30 days notice. Continued use of the Services after notification constitutes acceptance of the new terms.
17. Applicable Law
• These terms are governed by Moroccan law.
• Bank Al-Maghrib is the competent regulatory authority.
• Any dispute shall be submitted to Casablanca courts.
